These terms of service (the "Terms") are intended to define the conditions and terms of use of the Open Referral platform (the "Service"), operated by Open Referral SAS (hereinafter "we", "our" or "the Company"), a SAS registered office located in Paris, France.

Use of the Service implies full and complete acceptance of these Terms. If you do not accept these conditions, you must not use the Service.

3. Service Description

Open Referral is a B2B SaaS platform enabling companies to manage and automate their employee referral programs. The Service includes in particular:

• Management of employee referrals and recommendations
• Tracking and automation of referral recruitment processes
• Analysis and reporting of referral program performance
• Any other functionality made available as part of the Service

4. Registration and User Account

4.1. Account Creation

To use the Service, you must create an account by providing accurate, complete and up-to-date information. You are responsible for the confidentiality of your login credentials.

4.2. Responsibility

You are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Use of the Service

5.1. Authorized Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree in particular to:

• Not use the Service in a manner that violates applicable laws and regulations
• Not infringe the rights of third parties
• Not disrupt the operation of the Service
• Not attempt to gain unauthorized access to the Service or its systems

Subscriptions are billed in advance according to the chosen period (monthly or annual). Payments are due according to the terms agreed upon at the time of subscription.

6.3. Renewal and Termination

Your subscription automatically renews unless terminated by you or us. You may terminate your subscription at any time from your account, effective at the end of the current period.

7. Intellectual Property

The Service, including in particular its source code, structure, design, logos, trademarks and all other elements, is the exclusive property of the Company or its partners. Any unauthorized reproduction, representation, modification or adaptation is prohibited.

8. Service Availability

We strive to ensure Service availability 24/7. However, we cannot guarantee absolute availability and we reserve the right to temporarily interrupt the Service for maintenance, updates or for any other technical reason.

9. Limitation of Liability

To the extent permitted by applicable law, the Company shall not be liable for:

• Indirect damages, loss of profits, loss of data or any other damage resulting from the use or inability to use the Service
• Service interruptions for maintenance or any other reason
• Non-compliant use of the Service by the user

The Company's total liability is limited to the amount of sums paid by the user over the last 12 months.

10. Personal Data Protection

The processing of your personal data is governed by our Privacy Policy, available at /privacy.html, and complies with the General Data Protection Regulation (GDPR) and French Data Protection Act.

11. Modification of Terms

We reserve the right to modify these Terms at any time. Modifications take effect upon publication on the Service. Your continued use of the Service after publication of the modifications constitutes acceptance of the new Terms.

12. Applicable Law and Jurisdiction

These Terms are governed by French law. In the event of a dispute and in the absence of an amicable agreement, French courts shall have exclusive jurisdiction.
